I, MARY COUGHLAN, Minister for Enterprise, Trade and Employment, in exercise of the powers conferred on me by section 3 of the European Communities Act 1972 (No. 27 of 1972) and for the purpose of giving further effect to Council Directive No. 89/667/EEC 1 of 21 December 1989 hereby make the following regulations: |

1. (1) These Regulations may be cited as the European Communities (Single-Member Private Limited Companies) (Amendment) Regulations 2008. |
||
|
(2) These Regulations shall come into operation on 16 September 2008. |
||
|
2. In these Regulations “Principal Regulations” means the European Communities (Single-Member Private Limited Companies) Regulations 1994. ( S.I. No. 275 of 1994 ). |
||
|
3. The Principal Regulations are amended- |
||
|
(a) in Regulation 5(2) by substituting “in the form specified in Schedule 1 or a form to like effect” for “in the prescribed form”, |
||
|
(b) in Regulation 6 by substituting “in the form specified in Schedule 2 or a form to like effect” for “in the prescribed form”, |
||
|
(c) after Regulation 14, by inserting Schedules 1 and 2 set out in the Schedule. |
||
|
4. Regulations 3 and 4 of the European Communities (Single-Member Private Limited Companies)(Forms) Regulations 1994 ( S.I. No. 306 of 1994 ) are revoked on the coming into operation of these Regulations. |

The purpose of these Regulations is to amend Forms M1 & M2 and revoke the previous respective forms. Form M1 is a notice of change to a single member company. Form M2 is the notice of a change status of a single member company. |
