COMPANIES (FORMS) ORDER, 1994.

I, RUAIRÍ QUINN, Minister for Enterprise and Employment, in exercise of the powers conferred on me by sections 352 , 353 , 354 and 396 of the Companies Act, 1963 (No. 33 of 1963) and Regulations 4, 7, 9, 11, 15 and 16 of the European Communities (Branch Disclosures) Regulations, 1993, hereby order as follows:

1. (1) This Order may be cited as the Companies (Forms) Order, 1994.

(2) The Companies (Forms) Orders, 1964 to 1991, and this Order may be cited together as the Companies (Forms) Orders, 1964 to 1994.

2. This Order shall come into effect on the 1st day of May, 1994.

3. In this Order—

"the 1963 Act" means the Companies Act, 1963 (No. 33 of 1963);

"the 1993 Branch disclosures Regulations" means the European Communities (Branch Disclosures) Regulations, 1993 ( S.I. No. 395 of 1993 ).

4. The form set out in Part I (F1) of the Schedule to this Order, or a form to like effect, is hereby prescribed for the purposes of section 352 of the 1963 Act and for Regulation 16 of the 1993 Branch Disclosures Regulations with such variations as circumstances require.

5. The form set out in Part II (F2) of the Schedule to this Order, or a form to like effect, is hereby prescribed for the purposes of section 353 (a) of the 1963 Act and Regulations 4 (3) (a) and (b) and 7 (3) (a) and (b) of the 1993 Branch Disclosures Regulations with such variations as circumstances require.

6. The form set out in Part III (F3) of the Schedule to this Order, or a form to like effect, is hereby prescribed for the purposes of section 353 (b) of the 1963 Act and Regulations 4 (3) (c) and 7 (3) (c) of the 1993 Branch Disclosures Regulations, with such variations as circumstances require, insofar as amendments to the information required by Regulations 4 (2) (f) and 7 (2) (g) are concerned.

7. The form set out in Part IV (F4) of the Schedule to this Order, or a form to like effect, is hereby prescribed for the purposes of section 353 (c) of the 1963 Act, Regulations 4 (3) (c) and 7 (3) (c) of the 1993 Branch Disclosures Regulations insofar as amendments to the information required by Regulations 4 (2) (g) and (h) and 7 (2) (h) and (i) are concerned and for the purposes of Regulations 4 (3) (d) and 7 (3) (d) of the said Regulations with such variations as circumstances require.

8. The form set out in Part V (F7) of the Schedule to this Order, or a form to like effect, is hereby prescribed for the purposes of section 354 of the 1963 Act and Regulation 11 of the 1993 Branch Disclosures Regulations with such variations as circumstances require.

9. The form set out in Part VI (F12) of the Schedule to this Order, or a form to like effect, is hereby prescribed for the purposes of Regulations 4 (1) and (2) and 15 of the 1993 Branch Disclosures Regulations with such variations as circumstances require.

10. The form set out in Part VII (F13) of the Schedule to this Order, or a form to like effect, is hereby prescribed for the purposes of Regulations 7 (1) and (2) and 15 of the 1993 Branch Disclosures Regulations with such variations as circumstances require.

11. The form set out in Part VIII (F14) of the Schedule to this Order, or a form to like effect, is hereby prescribed for the purposes of Regulations 4 (3) (e) and (f) and 7 (3) (e) and (f) of the 1993 Branch Disclosures Regulations with such variations as circumstances require.

12. The Companies (Forms) Order, 1964 is hereby amended by the deletion in the Schedule of Forms Numbered 4E, 5E and 6E.
