S.I. No. 177/1950 - Alliance and Dublin Consumers' Gas Company - Statutory Powers (Special Order).


DATED THE 6TH DAY OF JULY, 1950, MADE BY THE MINISTER FOR INDUSTRY AND COMMERCE UNDER SECTION 10 OF THE GAS REGULATION ACT, 1920, ON THE APPLICATION OF THE COMPANY.

I, DANIEL MORRISSEY, Minister for Industry and Commerce, in exercise of the powers conferred on me by section 10 of the Gas Regulation Act, 1920, and of every and any other power me in this behalf enabling, hereby order as follows :—

1. This Order may be cited as the Alliance and Dublin Consumers' Gas Company (General Meetings) Order, 1950.

2. In this Order—

" the Company " means the Alliance and Dublin Consumers' Gas Company ;

" the directors " means the directors of the Company.

3. The Interpretation Act, 1937 (No. 38 of 1937), applies to this Order.

4. Notwithstanding anything in the Companies Clauses Consolidation Act, 1845, or in any other Act relating to the Company or its undertaking, the ordinary general meeting of the Company shall be held annually instead of half-yearly and shall, in every year, be held so soon after the 31st day of December in the preceding year, but not later than the month of March, as the directors by resolution from time to time determine.

5. The directors may, if it appears to them that the profits of the Company are sufficient, declare and pay, in respect of any half-year ending on the 30th day of June, an interim dividend on the Consolidated Ordinary Stock in the capital of the Company out of the profits of the Company without the sanction or the direction of a general meeting but the rate of any such interim dividend shall not exceed the authorised rate of dividend payable on such stock for the half-year.

6. Any dividend declared at an annual general meeting of the Company shall be deemed to be in respect of the year ending on the 31st day of December next before the date of such meeting but such dividend shall not exceed the amount of the dividend authorised for the year less any interim dividend declared under Article 5 of this Order.

7. The directors may close the register of transfers of the Company for a period not exceeding fourteen days previous to each annual general meeting, and, in any year in which it is proposed to exercise the powers conferred by Article 5 of this Order, may close the said register for a period not exceeding fourteen days commencing on any day in the month of August or September in that year and shall give seven days' notice of the date of any such closing of the said register by advertisement in some newspaper circulating in the district within which the Company's principal place of business is situated and any transfer delivered to the Company to be registered during the period when the said register is so closed shall, as between the Company and the person claiming under the transfer, but not otherwise, be deemed to be delivered subsequent to the expiration of such period as aforesaid.

8. Section 17 of the Alliance and Dublin Gas Act, 1874, shall apply as if for the words " half-yearly " therein the word " yearly " were substituted.
