I, MARY COUGHLAN, Minister for Enterprise, Trade and Employment, in exercise of the powers conferred on me by subsections (2) (amended by section 3(a) of the Companies (Miscellaneous Provisions) Act 2009 (No. 45 of 2009)) and (3) of section 3 of the Companies Act 1990 (No. 33 of 1990) (as adapted by the Enterprise and Employment (Alteration of Name of Department and Title of Minister) Order 1997 ( S.I. No. 305 of 1997 )), hereby make the following regulations:

1. These Regulations may be cited as the Companies (Recognised Stock Exchanges) Regulations 2010.

2. In these Regulations “Act of 2009” means the Companies (Miscellaneous Provisions) Act 2009 (No. 45 of 2009).

3. Each of the following is prescribed for the purposes of sections 212 (amended by section 3(d) of the Act of 2009) and 226A (inserted by section 3(g) of the Act of 2009) of the Companies Act 1990 (No. 33 of 1990):

(a) the London Stock Exchange — Regulated Market;

(b) the New York Stock Exchange; and

(c) the market known as Nasdaq operated by Nasdaq Stock Market, Incorporated.

These Regulations prescribe the Main Market of the London Stock Exchange, the New York Stock Exchange, and the market known as NASDAQ operated by Nasdaq Stock Market incorporated for the purposes of section 212 of the Companies Act 1990 (No. 33 of 1990) to permit Irish public companies to make overseas market purchases on a recognised stock exchange.
