STOCK TRANSFER (FORMS) REGULATIONS, 1980.

I, MICHEÁL Ó CINNÉIDE, Minister for Finance, in exercise of the powers conferred on me by section 5 of the Stock Transfer Act, 1963 (No. 34 of 1963), as amended by section 8 of the Companies (Amendment) Act, 1977 (No. 31 of 1977), hereby make the following regulations:

1. These Regulations may be cited as the Stock Transfer (Forms) Regulations, 1980.

2. These Regulations shall come into operation on the 16th day of May, 1980.

3. In these Regulations—

"the Principal Act" means the Stock Transfer Act, 1963 (No. 34 of 1963);

"stock exchange nominee" has the meaning assigned to it by the Companies (Amendment) Act, 1977 (No. 31 of 1977).

4. Section 2 (1) of the Principal Act is hereby amended by—

( a ) the substitution of "a form" for "the form", and

( b ) the addition of the following proviso:

"Provided that—

( a ) in the case of an instrument in the form set out in Part I of the Schedule to the Stock Transfer (Forms) Regulations, 1980, and inserted in the said First Schedule, by Regulation 4 of those Regulations, the instrument need not specify—

(i) particulars of the consideration, or

(ii) the address of the transferee, and

( b ) in the case of an instrument in the form set out in Part II of the Schedule to the said Regulations and inserted in the said First Schedule by the said Regulation 4, if the transferor is a body corporate, the instrument need not be executed under hand but shall be sufficiently executed by or on behalf of such transferor if it bears a facsimile of the corporate seal of the transferor, authenticated by the signature (whether actual or facsimile) of a director or the secretary of the transferor.".

5. The First Schedule to the Principal Act is hereby amended by adding thereto:

( a ) the form set out in Part I of the Schedule to these Regulations for use where registered securities to which section 2 of that Act applies are transferred to a stock exchange nominee as an alternative to the stock transfer form set out in the said First Schedule,

and

( b ) the form set out in Part II of the Schedule to these Regulations for use where such securities are transferred from a stock exchange nominee as an alternative to the stock transfer form set out in the said First Schedule.

EXPLANATORY NOTE.

The Regulations incorporate new forms for the purpose of stock transfers to the schedule of the Stock Transfer Act, 1963 . The Regulations also permit a transfer from the Stock Exchange Nominee to be executed under hand or, if bearing a facsimile of the corporate seal of the Nominee Company, such seal authenticated by an actual or facsimile signature of a director or secretary of the Nominee Company, would be effective.
