WHEREAS by section 5 of the Dublin Hospitals Regulation Act (passed in the year 1856 and in this Order referred to as "the Act") it is enacted that the Lord Lieutenant may, whenever he shall deem it expedient so to do, by order direct that the management of the House of Industry Hospitals shall be vested in a board of governors to be partly nominated by the Lord Lieutenant, and partly elected by the subscribers to the said hospitals, in such proportions as the Lord Lieutenant shall from time to time determine, and the Lord Lieutenant shall also from time to time determine the number of the members of which such board shall consist and the qualification of such members as are to be so elected by the said subscribers:

AND WHEREAS by section 8 of the Act it is enacted (amongst other things) that the Lord Lieutenant may from time to time by order alter the constitution of the said board of governors:

AND WHEREAS there being no subscribers to the said House of Industry Hospitals, no person can be elected to form part of a board of governors:
|

AND WHEREAS a board of governors for the said hospitals has been constituted under the said section 5:
|
| |
AND WHEREAS the powers of the Lord Lieutenant under the Act are now vested in the Minister for Local Government and Public Health:
|
| |
NOW, THEREFORE, the Minister for Local Government and Public Health, in exercise of the powers vested in him under the said sections 5 and 8 of the the Act and in exercise of every other power enabling him in this behalf, does hereby order and direct as follows, that is to say:—
|

1. In this Order—
|
| |
the expression "the appointed day" means the first day of January, 1942;
|
| |
the expression "the hospitals" means the House of Industry Hospitals;
|
| |
the expression "the Minister" means the Minister for Local Government and Public Health.
|
| |
2.—(1) The Orders, in relation to the Board of Governors of the hospitals, made on the 17th of October, 1919, and the 19th day of January, 1920, are hereby revoked as on and from the appointed day.
|
| |
(2) On the appointed day the appointments of all persons heretofore nominated to act as governors of the hospitals shall be revoked.
|
| |
3. On and after the appointed day the management of the hospitals shall be vested in a board to be established in accordance with this Order on the appointed day, which board shall be called the House of Industry Hospitals Board and is referred to in this Order as "the Board".

4. The Board shall consist of nineteen members.
|
| |
5. The first members of the Board shall be the persons whose names are set forth in the Schedule to this Order.
|
| |
6. The Minister may at any time by order remove from office any member of the Board.
|
| |
7. Every member of the Board shall hold office until he shall either die, resign, or be removed by the Minister.
|
| |
8.—(1) A member of the Board may at any time resign his office by sending to the Minister a letter stating that he has decided to resign.
|
| |
(2) Whenever the Minister receives from a member of the Board a letter stating that he has decided to resign, the Minister shall as soon as may be by order appoint a person to be a member of the Board to fill the vacancy which will be created by such resignation and shall transmit to the Board a notification of such resignation and such appointment.
|
| |
(3) Every such resignation and appointment shall take effect at the commencement of the meeting of the Board held next after the receipt by the Board of the notification from the Minister of such resignation and appointment.
|
| |
9.—(1) Whenever a vacancy occurs amongst the members of the Board by reason of the death or removal from office of a member the Minister shall, by order, as soon as may be appoint a person to be a member to fill such vacancy.
|
| |
(2) If any of the persons whose names are set forth in the Schedule to this Order dies before the appointed day, his death shall, for the purposes of this Article, be deemed to have occurred on the appointed day.
|
| |
10.—(1) The Board shall hold its first meeting on the second day of January, 1942, at the Hospitals at eleven o'clock in the forenoon.
|
| |
(2) The Board shall in every year commencing after the appointed day hold a meeting (in this Order referred to as "the annual meeting") on such date as the Minister shall appoint in that behalf.
|
| |
(3) The Board shall hold at least one meeting in every month and such and so many other meetings as may be necessary for the exercise and performance of its powers and duties.
|
| |
11.—(1) The Board shall at its first meeting and also at every annual meeting elect one of its members to be chairman of the Board and another of its members to be vice-chairman of the Board.
|
| |
(2) The chairman or vice-chairman of the Board may at any time resign his said office by letter addressed to the Board and every such resignation shall take effect at the meeting of the Board held next after the receipt of such letter by the Board.
|
| |
(3) Whenever the chairman or vice-chairman of the Board ceases to be a member of the Board he shall forthwith cease to be such chairman or vice-chairman.
|
| |
(4) Every person elected to be chairman or vice-chairman of the Board shall, unless he sooner dies, resigns or ceases to be a member of the Board, hold office as chairman or vice-chairman until his successor is elected.
|
| |
(5) Whenever the office of chairman or vice-chairman of the Board becomes vacant through the death or resignation of the chairman or vice-chairman or through his ceasing to be a member of the Board, the Board shall at the next meeting after such vacancy has taken place elect one of its members to be chairman or vice-chairman.
|
| |
(6) Whenever at the election of chairman of the Board there is an equality of votes for two or more persons one of these persons shall be elected by lot.
|
| |
12.—(1) The quorum for a meeting of the Board shall be five.
|
| |
(2) At a meeting of the Board—
|
| |
(a) the chairman of the Board shall, if he is present, be chairman of the meeting;
|
| |
(b) if the chairman of the Board is not present or the office of chairman of the Board is vacant, the vice-chairman of the Board shall, if he is present, be chairman of the meeting; and
|
| |
(c) if the chairman of the Board is not present or the office of chairman of the Board is vacant and the vice-chairman of the Board is not present or the office of vice-chairman of the Board is vacant the members of the Board who are present shall choose one of their number to be chairman of the meeting.
|
| |
(3) Every question at a meeting of the Board shall be determined by a majority of the members present and voting on the question, and in case of an equal division of votes the chairman of the meeting shall have a second or casting vote save where the question is the election of the chairman.
|
| |
(4) The Board may act notwithstanding one or more vacancies among its members.
|
| |
(5) Subject to the provisions of this Article the Board shall regulate by standing orders or otherwise the procedure and business of the Board.
|
| |
13. This Order may be cited as the House of Industry Hospitals Management Order, 1941.
